1. About Thanex and These Terms

1.1 These Terms and Conditions, referred to as the “Terms,” constitute a legally binding agreement between the person or entity using the Service, referred to as “you” or the “User,” and Thanex Ltd, referred to as “Thanex,” “we,” “us,” or “our.”

1.2 Thanex Ltd is a private limited company incorporated in England and Wales under company number 16426957. Its registered office is at Flat 11, Mill Pond Place, 1 Mill Lane, Maidstone, England, ME14 1GL, United Kingdom.

1.4 These Terms govern access to and use of:

(a) the Thanex website at https://thanex.uk;

(b) the Thanex web application and cloud portal;

(c) the Thanex mobile applications made available for compatible mobile devices;

(d) Business Workspaces, Organisations, Projects, subscriptions, cloud storage, notifications, integrations, support services, and associated features; and

(e) all software, content, documentation, interfaces, and services supplied by Thanex, collectively referred to as the “Service.”

1.5 By creating an Account, joining a Business Workspace, purchasing a subscription, or otherwise using the Service, you confirm that you have read, understood, and agreed to these Terms. A person acting for a company, partnership, employer, or other organisation confirms that the person has authority to bind that entity.

1.6 No use of the Service is permitted where the User does not accept these Terms.

 

2. Definitions

2.1 The following definitions apply:

Account: A registered individual user account through which a User accesses the Service.

Business Customer: A company, partnership, sole trader, public authority, employer, contractor, or other organisation that creates, controls, or pays for a Business Workspace.

Business Workspace or Organisation: The controlled area within the Service through which authorised Users create Projects, capture records, manage members, assign roles, and access Project Content.

Consumer: An individual acting wholly or mainly outside that individual’s trade, business, craft, or profession, within the meaning of section 2(3) of the Consumer Rights Act 2015.

Project: A work area created within an Organisation for the capture, storage, classification, management, viewing, and downloading of Project Content.

Project Content: Photos, documents where supported, names, job titles, roles, timestamps, user-defined locations, GPS coordinates, project names, company names, notes, descriptions, tags, classifications, activity records, and other information captured, uploaded, generated, or maintained within a Project.

Subscription: A paid, automatically renewing right to use specified Service features, subject to the plan description displayed before purchase.

User: Any person who accesses the Service, whether through a free plan, individual plan, Business Workspace, invitation, or paid Subscription.

 

3. Eligibility and Account Registration

3.1 Users must be at least 18 years old and legally capable of entering into a binding contract. The Service is intended for professional and workplace use and is not directed at children.

3.2 Registration may be completed using an email address and password or an approved third-party sign-in service, including Apple, Google, or Microsoft. Use of a third-party sign-in provider is also subject to that provider’s applicable terms and privacy notice.

3.3 Accurate, current, and complete information must be supplied during registration. Account details must be updated when they change.

3.4 Each Account is personal to the registered User. Login credentials must not be sold, transferred, shared with unauthorised persons, or used to conceal the identity of the person accessing the Service.

3.5 Users are responsible for maintaining the confidentiality of their credentials and for activity conducted through their Accounts, except to the extent that unauthorised activity results from a failure by Thanex to apply legally required security measures.

3.6 Suspected unauthorised access must be reported promptly to support@thanex.uk. Thanex may require identity verification before restoring access, changing ownership, or disclosing Account information.

 

4. Service Description and Technical Operation

4.1 Thanex provides a workplace-camera and cloud-record service intended to keep professional photographs and Project records separate from personal photographs stored on a User’s device.

4.2 Depending on the version and plan used, the Service may permit Users to:

(a) capture photographs through the mobile application;

(b) associate photographs with an Organisation, Project, category, User, timestamp, location, description, note, or tag;

(c) stamp selected information into a photograph;

(d) record GPS coordinates where device permission has been granted;

(e) store Project Content in cloud infrastructure;

(f) search, filter, view, download, and share authorised Project Content;

(g) invite team members and assign roles;

(h) receive push notifications concerning authorised activity; and

(i) access Project Content through compatible web and mobile interfaces.

4.3 Stamped information may form part of the image itself and may not be removable or editable after capture. Users must verify the Project, category, name, location, note, timestamp, and other selected details before completing a capture.

4.4 GPS information depends on device settings, signal availability, operating-system permissions, and data supplied by the device. Thanex does not certify GPS coordinates, device time, user-entered information, or stamped records as independently verified forensic evidence.

4.5 Push notifications may concern invitations, Project activity, Account security, Service updates, or other operational events. Notification permission may be disabled through the application or device settings, although disabling notifications may cause a User to miss time-sensitive information.

4.6 Features may differ between devices, operating systems, countries, plans, and application versions. Internet access and a compatible device are required and are the User’s responsibility.

 

5. Organisations, Roles, and Administrative Authority

5.1 An Organisation may include an Owner, one or more Administrators, and Members. Available permissions are determined by the Service and may include member management, Project creation, viewing and downloading Project Content, content invalidation, deletion, billing administration, and ownership transfer.

5.2 An Owner or Administrator acts on behalf of the relevant Organisation when managing Users and Project Content. Thanex may rely on instructions submitted through an authenticated administrative Account unless it has reasonable grounds to suspect fraud, error, or lack of authority.

5.3 Business Customers are responsible for:

(a) deciding who may join their Organisation;

(b) assigning appropriate roles and permissions;

(c) removing access when employment, engagement, or authority ends;

(d) establishing lawful workplace policies for photography, monitoring, retention, and location recording; and

(e) ensuring that administrative actions are authorised.

5.4 A User removed from an Organisation may lose access immediately. Removal does not delete Project Content previously created by that User, and attribution information may remain where it forms part of the Organisation’s business record.

5.5 An Owner may not delete the Owner’s individual Account while that Account remains the Owner of an Organisation. Where the Organisation is to continue, ownership must first be transferred to another eligible Member. The transfer option will be available only where another eligible Member exists.

5.6 Where ownership is not transferred, the Owner must either retain the Account or permanently delete the Organisation through the separate Organisation-deletion process. Deleting an Organisation removes its Projects, Project Content, settings, memberships, and member access, but does not delete the individual Thanex Accounts of its Members.

 

6. Project Content and Business-Owned Records

6.1 As between Thanex and the relevant Organisation, Project Content created within an Organisation is controlled by that Organisation. Thanex does not claim ownership of Project Content.

6.2 Underlying intellectual-property ownership remains subject to applicable law and any agreement between the User, employer, client, contractor, and Organisation. Section 11(2) of the Copyright, Designs and Patents Act 1988 generally provides that an employer is the first owner of copyright in a work made by an employee in the course of employment, subject to any contrary agreement.

6.3 Each User grants, or confirms that the User is authorised to grant, the Organisation all permissions reasonably necessary to access, retain, use, reproduce, disclose, download, and manage Project Content created for that Organisation.

6.4 Users do not acquire rights in another Organisation’s records merely because they captured, viewed, annotated, or administered those records.

6.5 To operate the Service, the Organisation and each contributing User grant Thanex a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, process, transmit, display, back up, and technically modify Project Content solely as required to provide, secure, maintain, and support the Service, comply with lawful instructions, and meet legal obligations.

6.6 The licence in clause 6.5 ends when the relevant content is deleted from active systems, except for copies retained temporarily in routine backups, security records, or records that Thanex must retain by law.

 

7. User Responsibilities and Acceptable Use

7.1 Users must possess all rights, notices, permissions, consents, and lawful bases required to capture and process Project Content. Particular care is required where photographs identify individuals, reveal private property, record vehicle registrations, contain confidential plans, or include health, biometric, trade-union, or other sensitive information.

7.2 The Service must not be used to:

(a) violate any applicable law, court order, contractual duty, intellectual-property right, privacy right, or confidentiality obligation;

(b) photograph or monitor persons where the User lacks lawful authority;

(c) upload unlawful, defamatory, threatening, abusive, fraudulent, or materially misleading content;

(d) distribute malicious software or content intended to damage a system;

(e) gain unauthorised access to an Account, Organisation, Project, network, database, or device;

(f) bypass storage, billing, security, or access controls;

(g) impersonate another person or misrepresent authority;

(h) extract data through automated means except through an interface expressly approved by Thanex;

(i) resell, sublicense, copy, reverse engineer, or commercially exploit the Service except where applicable law prohibits restriction of the relevant activity; or

(j) use the Service in a manner that materially interferes with its security, integrity, capacity, or lawful operation.

7.3 Users must not rely on Thanex as the sole repository for irreplaceable records where loss would create material safety, regulatory, evidential, or financial consequences. Appropriate independent downloads, copies, and retention arrangements must be maintained by the Business Customer.

 

8. Free and Paid Plans

8.1 Thanex may offer a free tier with limits stated on the website or within the Service. Current proposed limits may include up to two Users, 5 GB of storage, and one Project, but the definitive allowance is the allowance displayed when the Account is created or used.

8.2 Paid plans may include an individual Pro plan and team-based Business plans, including plans designed for three, five, ten, twenty, or another stated number of Users.

8.3 Storage limits, User allowances, Project allowances, functionality, and support terms are those displayed on the pricing page or at checkout. Features described as unlimited remain subject to reasonable technical safeguards and the acceptable-use requirements in clause 7.

8.4 Thanex may introduce, remove, or alter plans. A change affecting an existing paid Subscription will take effect no earlier than the next renewal after reasonable notice, unless an immediate change is required by law, security considerations, or a third-party platform rule.

 

9. Subscriptions, Billing, and Automatic Renewal

9.1 Subscriptions may be purchased monthly or annually in pounds sterling. Applicable VAT or other taxes will be displayed where required.

9.2 Each paid Subscription renews automatically for successive periods equal to the selected billing period until cancelled.

9.3 The price, billing period, included Users, storage allocation, and renewal date must be reviewed before payment. Completion of the purchase authorises the relevant payment provider to collect the initial and recurring charges.

9.4 Paid Subscriptions are purchased through the Thanex website or web application and are processed by Stripe. Apple, Google, and Microsoft may provide authentication services but do not process Thanex Subscription payments.

9.5 Thanex does not ordinarily receive or store complete payment-card details. Stripe processes payment-card information, payment authentication, billing, renewals, and refunds under its own contractual and privacy terms.

9.6 A plan upgrade or the addition of a User seat ordinarily takes effect immediately. Where a seat is added during an existing billing period, Stripe will charge the proportionate price for the number of days remaining until the next billing date. The applicable charge will be displayed or otherwise made available before confirmation.

9.7 A plan downgrade or reduction in the number of User seats ordinarily takes effect at the beginning of the next billing period. The existing plan and seat quantity remain payable and available until that date. Before the change takes effect, the Customer must reduce usage and download any photographs or other available files required outside Thanex. Thanex may restrict new uploads, Projects, Users, or paid features where usage exceeds the new allowance, but will not intentionally delete Project Content solely because a downgrade takes effect without applying the applicable deletion process.

9.8 Prices may change upon reasonable advance notice. A revised price applies from the next renewal occurring after the notice period. Cancellation remains available before the revised price takes effect.

9.9 The subscription provisions in Chapter 2 of Part 4 of the Digital Markets, Competition and Consumers Act 2024 require secondary legislation before the new United Kingdom subscription-contract regime becomes operative. Any mandatory renewal notices, cooling-off rights, cancellation procedures, or remedies that become applicable after commencement will override inconsistent wording in these Terms.

10. Cancellation and Refund Policy

10.1 A Subscription may be cancelled through the applicable Account settings, the Stripe customer portal, or by contacting support@thanex.uk where no functioning self-service method is available.

10.2 Ordinary cancellation stops automatic renewal and takes effect at the end of the current billing period. Access to paid features continues until that date unless the Subscription was terminated for material breach, fraud, security risk, or unlawful use.

10.3 Fees already charged are non-refundable merely because the Customer did not use the Service, forgot to cancel, removed a User, or changed business requirements. Mandatory statutory rights remain unaffected.

10.4 A Consumer entering into a distance contract may have a 14-day cancellation right under regulations 29 and 30 of the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.

10.5 Where a Consumer expressly requests immediate commencement of a service during the cancellation period, Thanex may deduct a proportionate amount for the service supplied before cancellation, as permitted by regulation 36. Where the contract concerns digital content not supplied on a tangible medium, the Consumer may lose the cancellation right after supply begins if the Consumer gave express consent and acknowledged that consequence, in accordance with regulation 37.

10.6 An eligible statutory reimbursement will be made without undue delay and no later than 14 days after Thanex is informed of a valid cancellation, subject to the applicable Regulations. Reimbursement will ordinarily use the original payment method and will not carry a refund fee.

10.7 Refund or price-reduction rights may also arise where the Service fails to comply with statutory requirements. Sections 34 to 47 of the Consumer Rights Act 2015 address digital content, while sections 49 to 57 address services, including reasonable care and skill, repeat performance, and price reduction.

10.8 Refund requests must identify the Account email address, transaction date, amount, Stripe transaction or invoice reference, reason for the request, and supporting information.

10.9 Duplicate charges, billing errors, and unauthorised payments should be reported promptly. Thanex may investigate the Account history and consult the payment provider before issuing a correction.

10.10 Thanex supplies no physical goods under these Terms. Statutory exclusions concerning personalised goods, perishable goods, sealed software, or returned physical products are therefore not ordinarily relevant. Downloaded or otherwise saved Project Content is not returnable, although applicable rights concerning a defective Service remain available.

 

11. Data Download, Account Deletion, and Organisation Deletion

11.1 Thanex does not presently provide a bulk Project-export function. Authorised Users may view and download photographs through the available web or mobile functions and may download any other files that the Service expressly makes available. A User may separately request access to, or a portable copy of, qualifying personal data by contacting support@thanex.uk in accordance with the Privacy Policy.

11.2 An Account-deletion request may be initiated through the available in-app or web function. Thanex may require reauthentication or a one-time confirmation code sent to the email address associated with the Account before accepting the request.

11.3 Once Account deletion is confirmed, the User’s access to all Organisations and Projects will be revoked immediately. Account information controlled by Thanex will be deleted or irreversibly anonymised from active Account systems within 30 days, except where retention is legally permitted or required. Any personal Subscription will be cancelled, and any Project Content controlled solely through an individual Pro Account will enter the applicable deletion process.

11.4 Deleting an individual Account does not delete Project Content controlled by an Organisation. Photographs, notes, timestamps, locations, activity records, and other Project records created by the User may remain available to that Organisation. The User’s name, role, and other attribution incorporated into or associated with those records may remain for as long as the Organisation lawfully retains them.

11.5 A User may not delete an individual Account while that User remains the Owner of an Organisation. The Owner must first transfer ownership to another eligible Member or permanently delete the Organisation. A transfer option will be available only where another eligible Member exists.

11.6 Permanent deletion of an Organisation may be initiated only by its Owner through the applicable Organisation-deletion function and may require a one-time confirmation code. Deletion removes the Organisation, its Projects, photographs, supported documents, notes, records, settings, memberships, and operational data. Every Member’s access to that Organisation will be removed, but the Member’s individual Thanex Account will not be deleted solely because the Organisation is deleted.

11.7 Confirmed Organisation deletion cancels the Organisation’s Subscriptions, and access ends immediately. Outstanding invoices and charges accrued before deletion remain payable. No refund, credit, or reimbursement is provided for an unused part of a prepaid billing period merely because the Organisation or Account was deleted, subject to mandatory statutory rights.

11.8 Account and Organisation deletion cannot be reversed by the User after final confirmation. Relevant operational data may remain in a controlled active-system deletion queue for up to 30 days. Residual copies may remain temporarily in routine backups until overwritten or deleted under the established backup cycle and must not be restored or used for ordinary Service purposes.

11.9 Thanex may retain limited billing, tax, accounting, fraud-prevention, security, complaint, dispute, and legal-claim records where continued retention is required or permitted by law. Further information appears in the Privacy Policy and Data Protection and Data Management Policy.

 

12. Privacy and Data Protection

12.1 Thanex processes personal data in accordance with applicable data-protection legislation, including the UK General Data Protection Regulation, the Data Protection Act 2018, and, where applicable, Regulation (EU) 2016/679.

12.2 For Account administration, billing, security, Service communications, and Thanex’s own operational records, Thanex ordinarily acts as controller.

12.3 For Project Content processed on behalf of a Business Customer, the Business Customer ordinarily acts as controller, and Thanex acts as processor. The Business Customer must establish its own lawful basis, provide required privacy information, handle data-subject requests, and issue lawful processing instructions.

12.4 Photos may be stored through Amazon Web Services, including Amazon S3. Other approved providers may support authentication, hosting, databases, analytics, marketing, email, and push notifications. Further information concerning providers, retention, international transfers, deletion, and data-subject rights appears in the Privacy Policy and any applicable Data Processing Agreement.

 

13. Third-Party Services

13.1 Third-party services may include Apple, Google, Microsoft, Stripe, Amazon Web Services, Google Analytics, Mailchimp, application marketplaces, notification providers, and other suppliers identified in the Privacy Policy.

13.2 Thanex is responsible for selecting and managing its contracted suppliers to the extent required by law. No responsibility is accepted for a third-party service independently selected, connected, or instructed by a User.

13.3 External links and integrations do not constitute an endorsement or guarantee. Users must review the third party’s terms, charges, security practices, and privacy notice before activation.

 

 

14. Thanex Intellectual Property

14.1 Thanex and its licensors retain all rights in the Service, including software, source material, databases, interface designs, trademarks, logos, documentation, text, graphics, and non-customer content.

14.2 Subject to these Terms, Thanex grants each authorised User a limited, revocable, non-exclusive, non-transferable right to access and use the Service during the applicable Account or Subscription term.

14.3 No ownership right in Thanex technology is transferred. Feedback may be used by Thanex without payment or restriction, provided that confidential Project Content is not publicly disclosed through that use.

 

15. Copyright Complaints

15.1 A person alleging that material available through the Service infringes copyright should send a notice to support@thanex.uk containing:

(a) identification of the protected work;

(b) identification and location of the allegedly infringing material;

(c) the complainant’s name and contact details;

(d) evidence of ownership or authority to act;

(e) a good-faith statement that the disputed use is unauthorised; and

(f) confirmation that the information supplied is accurate.

15.2 Thanex may restrict access to disputed material while investigating. The affected Organisation or User may be invited to provide evidence of ownership, permission, licence, statutory exception, or other lawful authority.

15.3 Repeated or serious infringement may result in suspension or termination. Knowingly false notices may expose the sender to liability.

 

16. Availability, Maintenance, and Records

16.1 Reasonable efforts will be made to maintain the Service, but uninterrupted or error-free operation is not guaranteed. Maintenance, software changes, provider failures, connectivity issues, cyber incidents, and events outside reasonable control may affect availability.

16.2 Thanex may modify technical features where reasonably necessary for security, legal compliance, compatibility, performance, or product development. Material reductions affecting a paid plan will be notified where practicable.

16.3 Thanex does not warrant that Project Content will be admitted as evidence, satisfy an insurer, prove contractual performance, or meet a particular regulatory standard. Users remain responsible for deciding what must be captured and retained.

 

17. Suspension and Termination

17.1 Thanex may suspend or terminate access where:

(a) fees remain unpaid after notice;

(b) these Terms are materially or repeatedly breached;

(c) use creates a credible legal, security, or operational risk;

(d) fraudulent or unauthorised activity is suspected;

(e) suspension is required by law or a competent authority; or

(f) continued provision has become unlawful or technically impracticable.

17.2 Notice and an opportunity to remedy will ordinarily be provided where the breach is capable of remedy and immediate action is not reasonably required.

17.3 On termination, payment obligations already accrued remain due. Clauses concerning ownership, confidentiality, liability, disputes, and legal compliance survive where their nature requires continued effect.

 

18. Liability

18.1 Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, breach of a liability that cannot legally be restricted, or any matter protected by sections 47, 57, 62, or 65 of the Consumer Rights Act 2015.

18.2 For Consumers, Thanex is responsible for reasonably foreseeable loss caused by its breach of these Terms or failure to exercise reasonable care and skill. Thanex is not responsible for business losses suffered by a Consumer or for loss caused by the Consumer’s unlawful use, inaccurate input, device settings, failure to download or retain required records, or unauthorised disclosure.

18.3 For Business Customers, and subject to clause 18.1, Thanex will not be liable for loss of profit, revenue, business opportunity, anticipated savings, goodwill, contract, or indirect or consequential loss.

18.4 Subject to clause 18.1, Thanex’s aggregate liability to a Business Customer arising from the Service during any 12-month period will not exceed the greater of £100 or the fees paid by that Business Customer during the 12 months preceding the event giving rise to the claim.

18.5 Any limitation applying to a Business Customer is subject to the reasonableness requirements of the Unfair Contract Terms Act 1977.

 

19. Business-Customer Indemnity

19.1 A Business Customer shall indemnify Thanex against third-party claims, losses, and reasonable legal costs arising from unlawful Project Content, unauthorised workplace photography, infringement of third-party rights, unlawful employee monitoring, or instructions that place Thanex in breach of law.

19.2 No indemnity applies to the extent that the loss was caused by Thanex’s own breach, negligence, or unlawful conduct. Clause 19 does not apply to Consumers.

 

20. Changes to These Terms

20.1 Thanex may amend these Terms to reflect legal requirements, security measures, provider changes, new functionality, or changes to the Service.

20.2 Material changes will be notified by email, within the Service, or through another durable-medium communication. Changes affecting a paid Subscription will not retrospectively alter charges already paid.

20.3 Where a material change causes substantial detriment, the Customer may cancel before the change takes effect. Mandatory consumer protections remain unaffected.

 

21. Complaints, Disputes, and ODR Status

21.1 Complaints should first be submitted to support@thanex.uk, with sufficient details to permit investigation. Both parties shall attempt to resolve the matter in good faith.

21.2 Regulation (EU) 2024/3228 repealed the former European Online Dispute Resolution framework and discontinued the EU ODR platform. The former ODR portal is therefore not included as a dispute-submission method. The official repealing Regulation is available at https://eur-lex.europa.eu/eli/reg/2024/3228/oj/eng.

21.3 Thanex is not presently committed to using a particular alternative-dispute-resolution provider unless participation becomes legally mandatory or is separately agreed.

 

22. Governing Law and Jurisdiction

22.1 These Terms and any non-contractual obligations arising from them are governed by the law of England and Wales.

22.2 Business Customers submit to the exclusive jurisdiction of the courts of England and Wales.

22.3 Consumers resident in the United Kingdom may bring proceedings in the courts applicable to the part of the United Kingdom in which they reside. Consumers resident elsewhere retain any mandatory jurisdictional rights granted by the law of their habitual residence.

 

23. General Provisions

23.1 Failure to enforce a right does not waive that right.

23.2 If a provision is held invalid or unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will continue in effect.

23.3 A User may not assign contractual rights without Thanex’s written consent. Thanex may assign these Terms as part of a merger, restructuring, financing, or transfer of the Service, provided that mandatory User rights are not reduced.

23.4 No person other than the parties has a right to enforce these Terms under the Contracts (Rights of Third Parties) Act 1999.

23.5 Electronic communications, Account records, and checkout confirmations may be retained as evidence of the agreement. Contract terms are made available in a form capable of storage and reproduction in accordance with regulation 9 of the Electronic Commerce (EC Directive) Regulations 2002.

23.6 These Terms, the Privacy Policy, the applicable plan description, checkout disclosures, and any Business-Customer agreement constitute the entire agreement concerning the Service. A separately signed Business-Customer agreement prevails where it expressly states that it overrides a provision of these Terms.
